These Terms of Service ("Terms") are a binding agreement between you and CancelCheck ("CancelCheck," "we," "us"). By using our website, requesting a scan, or purchasing a paid product, you agree to these Terms. If you do not agree, do not use the service.
Read Section 2 carefully. CancelCheck is not a law firm and does not provide legal advice.
1. What we provide
Free scan. On request, CancelCheck produces a written state-by-state summary that identifies where your described checkout and cancellation flow appear, based on our review, to depart from selected state automatic renewal statutes. The scan is general compliance information and observations about your described flow.
Paid products. We may offer compliance kits (templates, disclosure language, spec documents) and monitoring subscriptions (periodic re-scans, update alerts). Each paid product has its own scope described at purchase.
Referrals. Where a matter requires legal advice or advocacy, we may refer you to a licensed attorney. Any relationship you form with a referred attorney is between you and that attorney.
2. Not legal advice; no attorney-client relationship
CancelCheck is not a law firm. Nothing on our website, in our scans, kits, emails, or other communications constitutes legal advice or creates an attorney-client relationship between you and CancelCheck or any person associated with CancelCheck.
We do not represent you. We do not appear in any proceeding on your behalf, do not sign filings, and do not opine on the legal enforceability of any specific contract, notice, or practice as applied to your business.
Reliance. Do not rely on our materials as a substitute for the advice of a licensed attorney admitted in the applicable jurisdiction. Laws change. Facts specific to your business, contracts, and customers can change the analysis in ways a general scan cannot capture. Before taking action based on any CancelCheck output, you should consult a licensed attorney.
No confidentiality privilege. Communications with CancelCheck are not protected by the attorney-client privilege or the work-product doctrine.
Choice to consult counsel. You acknowledge that you are choosing to use a compliance-information service, that you have been advised to consult a licensed attorney for legal advice specific to your situation, and that CancelCheck is not a substitute for that advice.
3. Your submissions
To use the scan, you provide us with information about your business, including URLs, descriptions of your cancel flow, screenshots, and answers to intake questions. By submitting information, you represent that:
- You have the right to share it with us.
- You are not submitting personal information about identifiable individuals unless necessary and permitted by law.
- Your submissions do not infringe anyone's rights.
You grant CancelCheck a limited, non-exclusive, worldwide, royalty-free license to use your submissions solely to produce your scan, to fulfill any paid product, to communicate with you, and to improve our service in an aggregated and de-identified way. We do not use your submissions to train third-party AI models.
4. Payment, refunds, and cancellations
Payment. Paid products are billed through our payment processor at the price shown at purchase, in US dollars, plus applicable taxes.
Refunds on one-time products (compliance kits): full refund if requested within 14 days of delivery and you certify you have not distributed the materials outside your organization.
Refunds on pre-orders: full refund at any time before we deliver.
Monitoring subscriptions. Billed monthly or annually. You can cancel at any time in your account or by emailing support@cancelcheck.com. Cancellation stops future renewals. We do not prorate refunds for the current period unless required by law. If the law in your state requires a specific cancellation method or timing, that law controls.
We intend our own cancel flow to comply with the same state auto-renewal laws we help you evaluate.
5. Acceptable use
You agree not to:
- Use CancelCheck for anything illegal, or to help others evade valid consumer-protection laws.
- Resell, republish, or redistribute our scans, kits, or other paid materials, except within your own organization.
- Reverse engineer, scrape, or attempt to overwhelm the service.
- Misrepresent your identity or your business.
- Submit malware, or content that infringes intellectual-property rights.
We may suspend or terminate access for a material violation.
6. Intellectual property
The CancelCheck name, website, methodology, scan format, and paid materials are our property or that of our licensors and are protected by copyright, trademark, and other laws. Paid customers receive a non-exclusive, non-transferable, internal-use license to the paid materials for their own business. You keep ownership of anything you submit; we keep ownership of what we create.
7. Disclaimers
The service is provided "as is." To the maximum extent permitted by law, CancelCheck disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and completeness.
Compliance is your responsibility. Even if you follow every recommendation in a scan, we do not warrant that your practices are compliant with any specific law, that a regulator or court will agree, or that no claim will be brought against you. Statutes, regulations, and case law change; our scans reflect our review at a point in time.
8. Limitation of liability
To the maximum extent permitted by law, CancelCheck and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or business, arising out of or related to the service, even if we were advised of the possibility.
Our total aggregate liability arising out of or related to the service will not exceed the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) US $100.
Some jurisdictions do not allow certain limitations. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
9. Indemnification
You will defend, indemnify, and hold harmless CancelCheck from any third-party claim arising out of (a) your submissions, (b) your use of the service in violation of these Terms or applicable law, (c) your reliance on scan output without consulting a licensed attorney, or (d) your subscription business's underlying practices.
10. Termination
You may stop using the service at any time. We may suspend or terminate access at our discretion, with or without notice, for material violations, non-payment, or if we discontinue the service. Sections 2, 3 (last paragraph), 6, 7, 8, 9, 11, and 12 survive termination.
11. Governing law and disputes
These Terms are governed by the laws of the State of [New Jersey], without regard to conflict-of-laws principles. Any dispute will be brought in the state or federal courts located in [County, New Jersey], and you consent to personal jurisdiction there.
Before filing suit, the parties will attempt in good faith to resolve any dispute by written notice to the other and a 30-day discussion period.

12. Miscellaneous
Entire agreement. These Terms, along with the Privacy Policy and any order form for a paid product, are the entire agreement between you and CancelCheck on this subject.
No waiver. Failure to enforce a provision is not a waiver.
Severability. If any provision is held unenforceable, the rest remains in effect.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Changes. We may update these Terms. Material changes will be posted with a new effective date. Continued use after the effective date means you accept the updated Terms.
